End-User License Agreement

1. Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and BITESIGHT LTD (Company Number: 16604605, registered at 5, Brayford Square, London, E1 0SG, UNITED KINGDOM) for the Bitesight mobile application software ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

2. License Grant

BITESIGHT LTD grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software solely for your personal, non-commercial purposes strictly in accordance with this EULA and the Terms and Conditions.

This license is for use on devices that you own or control and as permitted by the usage rules set forth in the Apple App Store Terms of Service or Google Play Terms of Service, as applicable.

3. License Restrictions

You shall not:

• Copy, modify, or create derivative works based on the Software
• Distribute, transfer, sublicense, lease, lend, or rent the Software to any third party
• Reverse engineer, decompile, decrypt, disassemble, or otherwise attempt to derive the source code of the Software
• Make the functionality of the Software available to multiple users through any means
• Remove, alter, or obscure any proprietary notice or labels on the Software
• Use the Software for any illegal or unauthorized purpose
• Use the Software in any way that could damage, disable, overburden, or impair our servers
• Attempt to gain unauthorized access to any portion of the Software or its related systems

4. Intellectual Property Rights

The Software is licensed, not sold. BITESIGHT LTD and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. You acknowledge that no title to the intellectual property in the Software is transferred to you.

The Bitesight name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BITESIGHT LTD. You must not use such marks without our prior written permission.

5. Updates and Modifications

BITESIGHT LTD may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the Software ("Updates"). Updates may be installed automatically without providing any additional notice or receiving any additional consent.

You consent to automatic Updates and agree that this EULA will apply to all such Updates. You acknowledge that you may be required to install Updates to continue using the Software, and you agree to promptly install any Updates.

6. Privacy and Data Collection

Your use of the Software is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the Software, you consent to the collection and use of your information as set forth in the Privacy Policy.

The Software may collect certain information automatically, including but not limited to, the type of mobile device you use, your mobile device's unique device ID, your mobile operating system, and information about the way you use the Software.

7. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BITESIGHT LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BITESIGHT LTD DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, VIRUS-FREE, OR UNINTERRUPTED.

THE SOFTWARE IS NOT A MEDICAL DEVICE AND SHOULD NOT BE USED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE. THE NUTRITIONAL INFORMATION PROVIDED IS ESTIMATED AND MAY BE INACCURATE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BITESIGHT LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SOFTWARE.

IN NO EVENT SHALL BITESIGHT LTD'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless BITESIGHT LTD and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Software or your violation of this EULA.

10. Termination

This EULA is effective from the date you first download, install, or use the Software and shall continue until terminated. You may terminate it at any time by deleting the Software from your device.

BITESIGHT LTD may terminate this EULA at any time if you fail to comply with any term(s) hereof. Upon termination, you must cease all use of the Software and delete all copies.

11. Export Compliance

You may not use or export or re-export the Software except as authorized by United Kingdom law and the laws of the jurisdiction in which the Software was obtained. You represent and warrant that you are not located in a country that is subject to a UK government embargo.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and BITESIGHT LTD regarding the Software and supersedes all prior or contemporaneous understandings.
